1. Acceptance of Terms

By accessing and using Novaferi's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.

2. Description of Services

Novaferi provides software engineering services that include:

  • High-conversion interface engineering
  • Autonomous operations orchestration
  • AI action agent development and deployment
  • Strategic digital infrastructure consulting
  • Technical support and infrastructure maintenance

3. Contracting Process

3.1 Diagnostic and Proposal

All technical proposals are valid for 30 calendar days. Investment may vary according to specific project requirements and infrastructure conditions.

3.2 Contract

The service is considered contracted once:

  • The formal contract or proposal is signed
  • The agreed initial investment is received
  • The project start date is confirmed

4. Investment and Billing

4.1 Payment Methods

We accept the following methods:

  • Bank transfer
  • Bank deposit
  • Credit/debit card
  • PayPal (with 5% surcharge)

4.2 Investment Terms

  • Initial investment: 50% upon signing the contract
  • Final investment: 50% upon delivering the complete project
  • High-complexity projects: Investments in 3 parts (40%, 40%, 20%)
  • Maintenance services: Monthly advance investment

5. Delivery Timelines

Timelines are established in the specific contract and depend on:

  • Infrastructure complexity
  • Availability of client resources
  • Client approvals and feedback
  • Changes or additions to the original scope

Delays caused by the client may extend agreed timelines.

6. Client Responsibilities

The client commits to:

  • Provide accurate and complete information
  • Deliver necessary content, images, and materials
  • Respond to feedback requests in a timely manner
  • Comply with agreed investment terms
  • Provide access to necessary systems and platforms
  • Respect intellectual property rights

7. Intellectual Property

7.1 Code and Infrastructure

Custom code developed specifically for the client is transferred once the total project investment is completed.

7.2 Designs and Materials

Original designs become client property once the investment is complete. Novaferi reserves the right to document the impact case for portfolio purposes.

7.3 Tools and Frameworks

Novaferi's proprietary tools, frameworks, templates, and methodologies remain Novaferi's property.

8. Warranties and Support

8.1 Quality Guarantee

We guarantee that our work will be free of significant defects for a period of 30 days after final delivery.

8.2 Included Support

Each intervention level includes support according to agreed scope:

  • Foundation Level: Continuous technical support
  • Expansion Level: Support + active optimization
  • Domain Level: 24/7 priority support + strategic consulting

9. Limitation of Liability

Novaferi will not be liable for indirect, incidental, special, or consequential damages arising from the use of our services. Our total liability will not exceed the amount invested by the client for the specific services.

We do not guarantee specific sales or positioning results, although we implement industry best practices and document measured impact.

10. Cancellation and Refunds

10.1 Cancellation by Client

The client may cancel with 7 days written notice. In case of cancellation:

  • Work completed to date will be billed
  • Investments made will be applied to delivered work
  • Refund will depend on percentage of work completed

10.2 Cancellation by Novaferi

We reserve the right to cancel a project if the client does not comply with their contractual or investment obligations.

11. Confidentiality

All information shared between the parties is considered confidential. We commit to not disclosing the client's confidential information to third parties without express authorization.

12. Modifications to Terms

Novaferi reserves the right to modify these terms at any time. Changes will take effect immediately after publication. It is the client's responsibility to periodically review these terms.

13. Applicable Law and Jurisdiction

These terms are governed by the laws of Colombia. Any dispute will be resolved in the competent courts of Colombia.
