1. Acceptance of Terms

By accessing and using Novaferi's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.

2. Service Description

Novaferi provides digital transformation services including:

• Website design and development
• Marketing process automation
• Artificial intelligence agent development and implementation
• Digital transformation consulting
• Technical support and maintenance

3. Contracting Process

3.1 Quote and Proposal

All quotes are valid for 30 calendar days. Prices may vary according to specific project requirements and market conditions.

3.2 Contract

Service is considered contracted once:

• The contract or formal proposal is signed
• The agreed initial payment is received
• The project start date is confirmed

4. Payments and Billing

4.1 Payment Methods

We accept the following payment methods:

• Bank transfer
• Bank deposit
• Credit/debit card payment
• PayPal (with 5% surcharge)

4.2 Payment Terms

• Initial payment: 50% upon contract signing
• Final payment: 50% upon complete project delivery
• Large projects (>$10,000 USD): Payments in 3 parts (40%, 40%, 20%)
• Maintenance services: Monthly payment in advance

5. Delivery Times

Delivery times are established in the specific contract and depend on:

• Project complexity
• Client resource availability
• Client approvals and feedback
• Changes or additions to original scope

Delays caused by the client (lack of content, late feedback, scope changes) may extend agreed deadlines.

6. Client Responsibilities

The client commits to:

• Provide accurate and complete information
• Deliver necessary content, images and materials
• Respond to feedback requests in a timely manner
• Make payments according to agreed terms
• Provide access to necessary systems and platforms
• Respect intellectual property rights

7. Intellectual Property

7.1 Code and Development

Custom code developed specifically for the client transfers to the client once full project payment is completed.

7.2 Designs and Materials

Original designs created for the client are the client's property once paid. Novaferi reserves the right to display the work in its portfolio for promotional purposes.

7.3 Tools and Frameworks

Novaferi's proprietary tools, frameworks, templates and methodologies remain the property of Novaferi.

8. Warranties and Support

8.1 Quality Warranty

We warrant that our work will be free from significant defects for a period of 30 days after final delivery.

8.2 Included Support

Each package includes free support for the specified period:

• Essential Package: 3 months
• Professional Package: 6 months
• Enterprise Package: 12 months

9. Limitation of Liability

Novaferi shall not be liable for indirect, incidental, special or consequential damages arising from the use of our services. Our total liability shall not exceed the amount paid by the client for the specific services.

We do not guarantee specific marketing, sales or web positioning results, although we strive to implement industry best practices.

10. Cancellation and Refunds

10.1 Cancellation by Client

Client may cancel the project with 7 days written notice. In case of cancellation:

• Work completed to date will be charged
• Payments made will be applied to delivered work
• Refund will depend on percentage of work completed

10.2 Cancellation by Novaferi

We reserve the right to cancel a project if the client fails to meet their contractual or payment obligations.

11. Confidentiality

All information shared between parties is considered confidential. We commit not to disclose client confidential information to third parties without express authorization.

12. Modifications to Terms

Novaferi reserves the right to modify these terms at any time. Changes will take effect immediately after publication on our website. It is the client's responsibility to periodically review these terms.

13. Applicable Law and Jurisdiction

These terms are governed by the laws of Colombia. Any dispute will be resolved in the competent courts of Colombia.
